Please read these Terms of Service (“Terms”) carefully as they contain important information regarding your legal rights, remedies and obligations. By accessing or using the Edu Reviews Platform, you agree to comply with and be bound by these Terms. Do not access or use the Service if you are unwilling or unable to be bound by the Terms.
The last update to our Terms of Service was posted on 2nd March 2020.
These Terms constitute a legally binding agreement (“Agreement”) between you and Edu Reviews (as defined below) governing your access to and use of the Edu Reviews website, including any subdirectories and subdomains thereof, and any other websites through which Edu Reviews makes its services available (collectively, “Website”), our mobile, tablet and other smart device applications, and application program interfaces (collectively, “Application”). The Website and Application together are hereinafter collectively referred to as the “Edu Reviews Platform”. Our (“Service”) represents the collective functionality, features, and all associated services as offered through our Edu Reviews Platform.
A. When these Terms mention “EduReviews”, “Edu Reviews,” “we,” “us,” or “our,” it refers to the Edu Reviews company you are contracting with. Your contracting entity will generally be determined based on your country of residence or establishment. If you change your country of residence or establishment, the Edu Reviews company you contract with will be determined by your new country of residence or establishment as specified above, from the date on which your country of residence changes.
i. If your country of residence or establishment is in Australia, you are contracting with AUS Edu Reviews Pty Ltd (Company Number: 611285600) of 285A, Welshpool Road, Queenspark, WA, 6107, Australia.
ii. If your country of residence or establishment is in Malaysia, you are contracting with MYS Education Review Sdn Bhd (Company Number: 1284777-W) of Unit 6, Level 4, SetiaWalk Mall, Persiaran Wawasan, Pusat Bandar Puchong, 47160, Puchong, Selangor, Malaysia.
iii. If your country of residence or establishment is outside of Australia and Malaysia, you are contracting with MYS Education Review Sdn Bhd (Company Number: 1284777-W) of Unit 6, Level 4, SetiaWalk Mall, Persiaran Wawasan, Pusat Bandar Puchong, 47160, Puchong, Selangor, Malaysia.
B. Parties
i. “Visitor” is a party using our Service but has not registered as a Member.
ii. “Member” is a party that has registered with us to use our Service.
iii. “Vendor” refers to business owners listing their services on the Edu Reviews Platform.
iv. “Tutor” refers to individuals who list their Private Tutor services on the Edu Reviews Platform.
v. “You” and “your” refer to you, as a user of the Service. “User” is a collective identifier that refers to either a Visitor, Member, Tutor, or Vendor that accesses or in any way uses the Service.
C. Content
i. “Content” means text, images, photos, audio, video, documents, and all other forms of data or communication offered through our Edu Reviews Platform.
ii. “Your Content” means Content that you submit or transmit to, through, or in connection with the Service, such as ratings, reviews, photos, videos, compliments, invitations, check-ins, votes, friending and following activity, direct messages, and information that you contribute to your user profile or suggest for a business page.
iii. “User Content” means Content that Users submit or transmit to, through, or in connection with the Service.
iv. “Edu Reviews Content” means Content that we create and make available in connection with the Service.
v. “Third Party Content” means Content that originates from parties other than Edu Reviews or its users, which is made available in connection with the Service.
vi. “Service Content” means all of the Content that is made available in connection with the Service, including Your Content, User Content, Edu Reviews Content, and Third-Party Content.
D. Sites and Accounts
i. “Member Account” means the account you create to access or use the Service.
ii. “Vendor Account” means the account you create to access or use the Service for Business Owners.
iii. “Account” means any Member Account or Vendor Account.
E. Payment Terms
i. “Payout” means a payment initiated by Edu Reviews Payment Services to a Member for Services performed in connection with the Edu Reviews Platform.
ii. “Payment Method” means a financial instrument that you have added to your Edu Reviews Account, such as a credit card, debit card, or PayPal account.
iii. “Payout Method” means a financial instrument that you have added to your Edu Reviews Account, such as a PayPal account, direct deposit, a prepaid card, or a debit card (where available).
iv. “Order Transaction Date” means the date that a User confirms, books, purchase, or contract any Vendor Services.
v. “Order Fulfilment Date” means the date that the Vendor fulfils the Service paid for by the Users.
vi. “Order” refers to any free or paid transaction of Services on the Edu Reviews Platform.
vii. “Customer” refers to any party that successfully confirms, books, purchase, or contracts any Vendor Services on the Edu Reviews Platform.
A. The Edu Reviews Platform is an online marketplace that enables Vendors to publish Content pertaining their business (“Listings”), access to events and locations (“Events”), advertise and attract new customers and leads (“Leads Referral”), purchase of free and paid products and services (“Products”) and to communicate and transact with Users that are seeking to confirm, book, purchase, or contract any such Vendor Services. The Listing, Events, and Products offered by our Vendors are hereinafter collectively referred to as “Vendor Services”.
B. As the provider of the Edu Reviews Platform, Edu Reviews does not own, create, sell, resell, provide, control, manage, offer, deliver, or supply any Vendor Services. Vendors alone are responsible for their Vendor Services. When Users make or accept a booking, purchase a product or service, they are entering into a contract directly with the Vendor. Edu Reviews is not and does not become a party to or other participant in any contractual relationship between Users, nor is Edu Reviews a real estate broker or insurer. Edu Reviews is not acting as an agent in any capacity for any Member, except as specified in the Payments Terms.
C. While we may help facilitate the resolution of disputes, Edu Reviews has no control over and does not guarantee (i) the existence, quality, safety, suitability, or legality of any Vendor Services, (ii) the truth or accuracy of any Listing descriptions, Ratings, Reviews, Products or other Content, or (iii) the performance or conduct of any User, Vendor or third party.
D. You should always exercise due diligence and care when deciding whether to find, book, purchase, or contract such Vendor Services.
E. If you choose to use the Edu Reviews Platform as a Vendor, your relationship with Edu Reviews is limited to being an independent, third-party contractor, and not an employee, agent, joint venturer or partner of Edu Reviews for any reason, and you act exclusively on your own behalf and for your own benefit, and not on behalf, or for the benefit, of Edu Reviews. Edu Reviews does not, and shall not be deemed to, direct or control you generally or in your performance under these Terms specifically, including in connection with your provision of the Vendor Services. You acknowledge and agree that you have complete discretion whether to list Vendor Services or otherwise engage in other business or employment activities.
F. To promote the Edu Reviews Platform and to increase the exposure of Vendor Services to potential customers, Listings, Events, Products, and other Content may be displayed on other websites, in applications, within emails, and in online and offline advertisements. To assist Users who speak different languages, Listings, Events, Products, and other Content may be translated, in whole or in part, into other languages. Edu Reviews cannot guarantee the accuracy or quality of such translations and Users are responsible for reviewing and verifying the accuracy of such translations. The Edu Reviews Platform may contain translations powered by Google. Google disclaims all warranties related to the translations, express or implied, including any warranties of accuracy, reliability, and any implied warranties for merchantability, fitness for a particular purpose and non-infringement. Nevertheless, the English version governs your relationship with Edu Reviews, and any inconsistencies among the different versions will be resolved in favor of the English version available.
G. The Edu Reviews Platform may contain links to third-party websites or resources (“Third-Party Services”). Such Third-Party Services may be subject to different terms and conditions and privacy practices. Edu Reviews is not responsible or liable for the availability or accuracy of such Third-Party Services, or the content, products, or services available from such Third-Party Services. Links to such Third-Party Services are not an endorsement by Edu Reviews of such Third-Party Services.
H. Due to the nature of the Internet, Edu Reviews cannot guarantee the continuous and uninterrupted availability and accessibility of the Edu Reviews Platform. Edu Reviews may restrict the availability of the Edu Reviews Platform or certain areas or features thereof, if this is necessary in view of capacity limits, the security or integrity of our servers, or to carry out maintenance measures that ensure the proper or improved functioning of the Edu Reviews Platform. Edu Reviews may improve, enhance and modify the Edu Reviews Platform and introduce new Edu Reviews Services from time to time.
A. In order to access and use the Edu Reviews Platform or register an Edu Reviews Account you must be an individual at least 16 years old or a duly organized, validly existing business, organization or other legal entity in good standing under the laws of the country you are established and able to enter into legally binding contracts.
B. Users below the age of 16 will require parental consent before creating an account and using our Services in compliance with COPPA, GDPR-K, and any other national privacy laws and regulations in our jurisdiction.
C. Each individual is accountable for updating and changing any pertinent account information and Personal Data to preserve the truthfulness, representation, precision and reliability of the details.
D. Edu Reviews may make access to and use of the Edu Reviews Platform, or certain areas or features of the Edu Reviews Platform, subject to certain conditions or requirements, such as completing a verification process, meeting specific quality or eligibility criteria, meeting Ratings or Reviews thresholds, or a User’s payment history.
E. User verification on the Internet is difficult and we do not assume any responsibility for the confirmation of any User’s identity. Notwithstanding the above, for transparency and fraud prevention purposes, and as permitted by applicable laws, we may, but have no obligation to (i) ask Users to provide a form of government identification or other information or undertake additional checks designed to help verify the identities or backgrounds of Users, (ii) screen Users against third party databases or other sources and request reports from service providers, and (iii) where we have sufficient information to identify a User, obtain reports from public records of criminal convictions or sex offender registrations or an equivalent version of background or registered sex offender checks in your local jurisdiction (if available).
F. The access to or use of certain areas and features of the Edu Reviews Platform may be subject to separate policies, standards or guidelines, or may require that you accept additional terms and conditions, before you can access the relevant areas or features of the Edu Reviews Platform. If there is a conflict between these Terms and terms and conditions applicable to a specific area or feature of the Edu Reviews Platform, the latter terms and conditions will take precedence with respect to your access to or use of that area or feature, unless specified otherwise in the latter terms and conditions.
G. Unless authorised to do so, you agree not to publicly reveal on the Edu Reviews Platform any personally identifiable information, consisting of, however not limited to, first and last names, credentials, or various other details of a personal nature (“Personal Data”). Your disclosure of any Personal Data on the Edu Reviews Platform may result in termination of your account if it violates these Terms.
H. Your account, access and use the Edu Reviews Platform may be terminated if you violate any of these Terms at the sole discretion of Edu Reviews at any time. Edu Reviews reserves the right to explore any violation of our Terms and decide on whether or not to take any actions but has no liability or duty to any party for efficiency or non-performance of such activities.
I. The use of EduReviews free or paid products are for end user customers only. You may not purchase any products for resale. EduReviews reserves the right to refuse or cancel your order if we suspect you are purchasing products for resale.
A. Edu Reviews reserves the right to modify these Terms at any time in accordance with this provision without specific notice to you. If we make material changes to these Terms, we may notify you by email, by posting notice on the Service, and/or by other method prior to the effective date of the changes. We will also indicate at the top of this page the date that such changes were last made, as the most current version of the Terms will be located here.
B. If you disagree with the revised Terms, you may terminate this Agreement with immediate effect. We will inform you about your right to terminate the Agreement in the notification email. If you do not terminate your Agreement before the date the revised Terms become effective, your continued access to or use of the Edu Reviews Platform will constitute acceptance of the revised Terms.
C. You should revisit these Terms on a regular basis as revised versions will be binding on you. You understand and agree that your continued access to or use of the Service after the effective date of changes to the Terms represents your acceptance of such changes.
A. You must register an Account to access and use certain features of the Edu Reviews Platform. If you are registering an Edu Reviews Account for a business, organization or other legal entity, you represent and warrant that you have the authority to legally bind that entity and grant us all permissions and licenses provided in these Terms.
B. You can register an Edu Reviews Account using an email address and creating a password, or through your account with certain third-party social networking services, such as Facebook or Google (“SNS Account”). You have the ability to disable the connection between your Edu Reviews Account and your SNS Account at any time, by accessing the “Settings” section of the Edu Reviews Platform.
C. You must provide accurate, current and complete information during the registration process and keep your Edu Reviews Account and public Edu Reviews Account profile page information up-to-date at all times.
D. You may not register more than one (1) Edu Reviews Account unless Edu Reviews authorizes you to do so. You may not assign or otherwise transfer your Edu Reviews Account to another party.
E. You are responsible for maintaining the confidentiality and security of your Edu Reviews Account credentials and may not disclose your credentials to any third party. You must immediately notify Edu Reviews if you know or have any reason to suspect that your credentials have been lost, stolen, misappropriated, or otherwise compromised or in case of any actual or suspected unauthorized use of your Edu Reviews Account. You are liable for any and all activities conducted through your Edu Reviews Account, unless such activities are not authorized by you and you are not otherwise negligent (such as failing to report the unauthorized use or loss of your credentials).
F. Edu Reviews may enable features that allow you to authorize other Users or certain third parties to take certain actions that affect your Edu Reviews Account. For example, we may enable Members to link their Edu Reviews Accounts to businesses and take actions for those businesses, we may enable eligible Users or certain third parties to book Vendor Services on behalf of other Users, or we may enable Vendors to add other Users or Vendors as Co-Vendors to help manage their Vendor Services. These features do not require that you share your credentials with any other person. No third party is authorized by Edu Reviews to ask for your credentials, and you shall not request the credentials of other Users.
A. Edu Reviews can provide you with the following enrolment services via our team of Education Consultants (“Consultants”). This advice will be provided over the phone and via email. Phone sessions will need to be scheduled in advance with our Consultant assigned to you.

B. Enrolment Advice
a. Our Consultants can provide you with school recommendations based on your preferences, budget, and priorities. They can also help you identify any events, scholarships or promotions the school may have and advise you about the school’s enrolment procedure.
b. Advice provided are based on the information you choose to share with us. While our Consultants will make every effort to assist you, you are in the best position to determine how relevant this information is to your situation.
c. The education institution you choose to apply for has the sole discretion on accepting your application. Edu Reviews does not guarantee the success of any enrolment and is not liable for any loss or damage occasioned by any act, omission or default, whether negligent or otherwise of our Consultants.
C. Visa Advice
a. Our Consultants can provide advice regarding visa requirements, procedures, and documentation. This advice is free of charge.
b. Our Consultants are not able to fill out any forms, submit visa applications, or prepare any documents on your behalf. The advice provide by Edu Reviews is not a substitute for independent professional advice from a professional visa agent which may charge fees.
c. Edu Reviews does not guarantee the success of any visa application and is not liable for any loss or damage occasioned by any act, omission or default, whether negligent or otherwise of our Consultants.
D. Enrolment Rewards
a. You may be eligible to receive Enrolment Rewards when you successfully enrol with any Edu Reviews Partner School. Enrolment rewards could be in the form such as but not limited to gift products, discount vouchers, cash bursary and cashback rebates.
b. Successful enrolment requires that you fully complete the admissions procedure of the Partner School you have applied to including making any applicable payment. To be eligible for the free welcome gift, the Partner School will also need to acknowledge to Edu Reviews in writing that they have successfully admitted you into their education institution.
c. Partner Schools are education institutions that have a contractual relationship with Edu Reviews. As this list varies from time to time, you should ask your Consultant for the latest list of eligible Partner Schools.
A. From time to time and at our sole discretion, Edu Reviews may offer Users discounts, promotional vouchers, cashback rebates, credit points, and voucher codes (hereafter referred to as “Promotions”)
B. General Terms that apply to the redemption and use of Promotions:-
a. Promotions are only valid on the Edu Reviews Platform.
b. A valid code must be entered at the checkout or cart page in order to redeem Promotions.
c. Promotions are generally limited to one-time use per User account only, unless otherwise stated in the Special Terms.
d. Promotions are not valid in conjunction with other promotions, vouchers, or discounts, unless otherwise stated in the Special Terms.
e. Promotions are not exchangeable for cash.
f. Promotion validity is limited in time and the duration of promotions are typically for a period of a few hours up to a maximum of one month. This guideline overrides any individual Promotions policy.
g. Edu Reviews reserves the right to cancel or modify any order, or revoke the use of any Promotions for any reason, including the following circumstances: Suspicious or fraudulent purchasing activity or Promotions use; Abuse of Promotions, including the use of multiple accounts or multiple checkouts associated with the same customer or group of customers; Promotions used in bad faith (including resold Promotions or use of Promotions by customers purchasing products for the purpose of reselling); Use of Promotions by resellers is not tolerated, and Edu Reviews reserves the right to cancel orders which are deemed to display reseller behaviour.
h. Edu Reviews will not be liable and/or be required to offer replacement Promotions, discounts, credits, cash or otherwise compensate customers for: discontinued or cancelled Promotions; improper use of, or inability to redeem Promotions; or the inability to redeem Promotions due to technical issues.
i. Edu Reviews reserves the right to change the Promotion Terms and Conditions, or amend, suspend, or cancel, any Promotions at any time without notice.
C. Special Terms that apply to the redemption and use of Promotions:-
a. Additional terms and conditions may be specified in relation to specific Promotions (for example, duration, eligibility, discount amount and products covered), and will govern the use and redemption of those Promotions in addition to these General Terms. (“Special Terms”)

A. By registering an Account, you agree and consent for Edu Reviews and whoever we authorise to use your Account details provided to communicate with you (via phone, email, and online messaging etc) for the purposes of informing you on matters such as but not limited to:
a. Material changes to the Terms
b. Changes to your Account details
c. Confirmation of purchased Services
d. Invitation to contribute reviews and articles
e. Advertising, promotions and marketing content
f. Payment related matters such as outstanding Service Fees
g. Blog articles and content written by Edu Reviews and third parties
B. Edu Reviews shall also have the authority to monitor and/or record its phone conversations, text chats, and any online communication with you for quality control, for training purposes, and for its own legal protection. You warrant that anyone who has authorization to use your Account likewise consents to such monitoring and/or recording. You agree that none of this obligates Edu Reviews to record any communication from you, and you acknowledge that some communications will not be recorded or be available to be retrieved.
A. Edu Reviews may, at its sole discretion, enable Users to (i) create, upload, post, send, receive and store content, such as text, photos, audio, video, reviews, ratings, user feedback or other materials and information on or through the Edu Reviews Platform (“User Content”); and (ii) access and view User Content and any content that Edu Reviews itself makes available on or through the Edu Reviews Platform, including proprietary Edu Reviews content and any content licensed or authorized for use by or through Edu Reviews from a third party. All Your Content, User Content, Edu Reviews Content, and Third-Party Content are collectively known as “Service Content”.
B. The Edu Reviews Platform and Service Content may in its entirety or in part be protected by copyright, trademark, and/or other laws of the United States and other countries. You acknowledge and agree that the Edu Reviews Platform and Service Content, including all associated intellectual property rights, are the exclusive property of Edu Reviews and/or its licensors or authorizing third-parties. You will not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Edu Reviews Platform and Service Content. All trademarks, service marks, logos, trade names, and any other source identifiers of Edu Reviews used on or in connection with the Edu Reviews Platform and Service Content are trademarks or registered trademarks of Edu Reviews in the United States and abroad. Trademarks, service marks, logos, trade names and any other proprietary designations of third parties used on or in connection with the Edu Reviews Platform and Service Content are used for identification purposes only and may be the property of their respective owners.
C. You will not use, copy, adapt, modify, prepare derivative works of, distribute, license, sell, transfer, publicly display, publicly perform, transmit, broadcast or otherwise exploit the Edu Reviews Platform and Service Content, except to the extent you are the legal owner of certain Your Content or as expressly permitted in these Terms. No licenses or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by Edu Reviews or its licensors, except for the licenses and rights expressly granted in these Terms.
D. Subject to your compliance with these Terms, Edu Reviews grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to (i) download and use the Application on your personal device(s); and (ii) access and view any Service Content made available on or through the Edu Reviews Platform and accessible to you, solely for your personal and non-commercial use.
E. By creating, uploading, posting, sending, receiving, storing, or otherwise making available any User Content on or through the Edu Reviews Platform, you grant to Edu Reviews a non-exclusive, worldwide, royalty-free, irrevocable, perpetual (or for the term of the protection), sub-licensable and transferable license to such User Content to access, use, store, copy, modify, prepare derivative works of, distribute, publish, transmit, stream, broadcast, and otherwise exploit in any manner such User Content to promote, market, brand, advertise, and provide for the Edu Reviews Platform, in any form of document, media or platform, whether printed, digital, or otherwise. Insofar as User Content (including Verified Images) includes personal information, such User Content will only be used for these purposes if such use complies with applicable data protection laws in accordance with our Privacy Policy. Unless you provide specific consent, Edu Reviews does not claim any ownership rights in any User Content and nothing in these Terms will be deemed to restrict any rights that you may have to use or exploit your User Content.
F. You are solely responsible for all User Content that you make available on or through the Edu Reviews Platform. Accordingly, you represent and warrant that: (i) you either are the sole and exclusive owner of all User Content that you make available on or through the Edu Reviews Platform or you have all rights, licenses, consents and releases that are necessary to grant to Edu Reviews the rights in and to such User Content, as contemplated under these Terms; and (ii) neither the User Content nor your posting, uploading, publication, submission or transmittal of the User Content or Edu Reviews’s use of the User Content (or any portion thereof) as contemplated under these Terms will infringe, misappropriate or violate a third party’s patent, copyright, trademark, trade secret, moral rights or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.
G. You will not post, upload, publish, submit or transmit any User Content that: (i) is fraudulent, false, misleading (directly or by omission or failure to update information) or deceptive; (ii) is defamatory, libellous, obscene, pornographic, vulgar or offensive; (iii) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (iv) is violent or threatening or promotes violence or actions that are threatening to any other person or animal; (v) promotes illegal or harmful activities or substances; or (vi) violates any Edu Reviews policies. Edu Reviews may, without prior notice, remove or disable access to any User Content and Service Content that Edu Reviews finds to be in violation of applicable law, these Terms or Edu Reviews then-current Policies and Terms of Service, or otherwise may be harmful or objectionable to Edu Reviews, its Users, third parties, or property.
H. Edu Reviews respects copyright law and expects its Users to do the same. If you believe that any content on the Edu Reviews Platform infringes copyrights you own, please notify us in accordance with the guidelines as follows.
i. Notification of Copyright Infringement. Edu Reviews respects the intellectual property rights of others and expects its users to do the same. It is Edu Reviews policy, in appropriate circumstances and at its discretion, to disable and/or terminate the account or access of users who repeatedly infringe or are repeatedly charged with infringing the copyrights or other intellectual property rights of others. Edu Reviews will respond expeditiously to claims of copyright infringement committed using the Edu Reviews Platform that are reported to us.
ii. If you are a copyright owner, or are authorized to act on behalf of one, or authorized to act under any exclusive right under copyright, please report alleged copyright infringements taking place on or through the Edu Reviews Platform by completing the following Copyright Infringement Notice and email it to support@edureviews.com
iii. Upon receipt of the Copyright Infringement Notice as described below, Edu Reviews will take whatever action, in its sole discretion, it deems appropriate, including removal of the challenged material from the Edu Reviews Platform.
iv. Copyright Infringement Notice Guidelines
– Identify the copyrighted work that you claim has been infringed, or – if multiple copyrighted works are covered by this Notice – you will provide a comprehensive list of the copyrighted works that you claim have been infringed.
– Identify the material that you claim is infringing (or to be the subject of infringing activity) and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material, including at a minimum, if applicable, the URL of the link shown on the Site and Application where such material may be found.
– Provide your mailing address, telephone number, and, if available, email address.
– Include both of the following statements in the body of the Notice: “I hereby state that I have a good faith belief that the disputed use of the copyrighted material is not authorized by the copyright owner, its agent, or the law (e.g., as a fair use).” and “I hereby state that the information in this Notice is accurate and, under penalty of perjury, that I am the owner, or authorized to act on behalf of the owner, of the copyright or of an exclusive right under the copyright that is allegedly infringed.”

A. Users may submit a public review (“Review”) and a star rating (“Rating”) for Listings, Events, Products, and Edu Review Services. Ratings or Reviews reflect the opinions of individual Users and do not reflect the opinion of Edu Reviews. Ratings and Reviews are not verified by Edu Reviews for accuracy and may be incorrect or misleading.
B. Ratings and Reviews by Users must be accurate and may not contain any offensive or defamatory language. Users are prohibited from manipulating the Ratings and Reviews system in any manner, such as instructing a third party to submit a positive or negative Ratings and Reviews.
C. Ratings and Reviews are part of a User’s public profile and may also be surfaced elsewhere on the Edu Reviews Platform together with other relevant information such as number of bookings, number of cancellations, average response time and other information as solely determined by Edu Reviews discretion.
D. Ratings and Reviews may be subject to editorial revision at Edu Reviews sole discretion to ensure that the User Content is not unlawful, profane, threatening, defamatory, false, grammatically incorrect, an invasion of privacy, infringement of intellectual property rights, or otherwise damaging to third parties or objectionable and does not include or include industrial solicitation, mass mailings, or any type of “spam”.
A. Edu Reviews may charge fees to Users in consideration for the use of the Edu Reviews Platform (“Service Fees”) for Services such as but not limited to:
i. Service Fees for Vendor Packages
ii. Service Fees for Lead Referrals
iii. Service Fees for purchase of Products on e-commerce listing
iv. Service Fees for any additional Services provided by Edu Reviews (Print and digital advertising, booth space at fairs, social media agency management etc)
v. Service Fees for Private Tutor Listings
vi. Service Fees for Member CV Services
B. Any applicable Service Fees (including any applicable Taxes) will be displayed to Users prior to the charge. Edu Reviews reserves the right to change the Service Fees at any time and will provide Users adequate notice of any fee changes before they become effective. Such fee changes will not affect any payment made prior to the effective date of the fee change.
C. You are responsible for paying any Service Fees that you owe to Edu Reviews. Except as otherwise provided on the Edu Reviews Platform, Service Fees are non-refundable.
D. Any arrears in Service Fees owed to Edu Reviews or violation of any Terms of Service may lead to immediate termination of User Accounts and partial or full suspension of access to Edu Reviews Platform and Services.
A. Scope and Use of Edu Reviews Payment Services
i. Edu Reviews provides payments services to Users, including payment collection services, payments and payouts, in connection with and through the Edu Reviews Platform (“Payment Services”).
ii. You authorize Edu Reviews to charge your Payment Method the Service Fees and any other applicable fees, taxes, cancellation fee, delivery fee, (“Total Service Fees”) at the time of any Service transaction, purchase or booking requested in connection with your Account on the Edu Reviews Platform. Upon receipt of a payment confirmation from Edu Reviews, a legally binding agreement is formed between Member and Vendor, subject to any additional terms and conditions of the Vendor that apply, including in particular the applicable cancellation policy and any rules and restrictions specified in the Vendor Services.
iii. The Payment Services may contain links to third-party websites or resources (“Third-Party Services”). Such Third-Party Services are subject to different terms and conditions and privacy practices and Users should review them independently. Edu Reviews is not responsible or liable for the availability or accuracy of such Third-Party Services, or the content, products, or services available from such Third-Party Services. Links to such Third-Party Services are not an endorsement by Edu Reviews Payments of such Third-Party Services.
iv. You may not use the Payment Services except as authorized the laws of the jurisdiction that is your country of residence, and any other applicable laws. In particular, but without limitation, the Payment Services may not be used to send or receive funds to any prohibited or restricted parties. In addition to complying with the above, you must also comply with any relevant export control laws in your local jurisdiction.
v. Your access to or use of certain Payment Services may be subject to, or require you to accept, additional terms and conditions. If there is a conflict between these Payments Terms and terms and conditions applicable for a specific Payment Service, the latter terms and conditions will take precedence with respect to your use of or access to that Payment Service, unless specified otherwise.
vi. Edu Reviews Payments may offer alternative options for the timing and manner of payment (for example multiple instalments, or bank credit card Ezy Pay programmes). Any additional fees for using offered payment options will be displayed via the Edu Reviews Platform and included in the Total Service Fees, and you agree to pay such fees by selecting the payment option. Additional terms and conditions may apply for the use of an alternative payment option. If Edu Reviews Payments is unable to collect the Total Service Fees as scheduled, Edu Reviews Payments will collect the Total Service Fees at a later point. Once the payment transaction for your purchased Service is successfully completed, you will receive a confirmation email.
B. Payment Methods and Payout Methods
i. When you add a Payment Method or Payout Method to your Edu Reviews Account, you will be asked to provide customary billing information such as but not limited to your name on the account, residential and billing address, account type, routing number, account number, email address, payout currency, identification number and account information associated with a particular payment processor, either to Edu Reviews or its third-party payment processor(s). You must provide accurate, current, and complete information when adding a Payment Method or Payout Method, and it is your obligation to keep your Payment Method and Payout Method up-to-date at all times.
ii. When you add or use a new Payment Method, Edu Reviews Payments may verify the Payment Method by authorizing a nominal amount or by authenticating your account via a third-party payment service provider. For further verification, we may also (i) authorize your Payment Method for one or two additional nominal amounts, and ask you to confirm these amounts, or (ii) require you to upload a billing statement. We may, and retain the right to, initiate refunds of these amounts from your Payout Method. When you add a Payment Method during checkout, we may automatically save that Payment Method to your Edu Reviews Account so it can be used for a future transaction.
iii. Please note that Payment Methods and Payout Methods may involve the use of third-party payment service providers. These service providers may charge you additional fees when processing payments and Payouts in connection with the Payment Services (including deducting charges from the Payout amount), and Edu Reviews is not responsible for any such fees and disclaims all liability in this regard. Your Payment Method or Payout Method may also be subject to additional terms and conditions imposed by the applicable third-party payment service provider; please review these terms and conditions before using your Payment Method or Payout Method.
iv. You authorize Edu Reviews Payments to store your Payment Method information and charge your Payment Method as outlined in these Payments Terms. If your Payment Method’s account information changes (e.g., account number, routing number, expiration date) as a result of re-issuance or otherwise, we may acquire that information from our financial services partner or your bank and update your Payment Method on file in your Edu Reviews Account.
v. You are solely responsible for the accuracy and completeness of your Payment Method and Payout Method information. Edu Reviews Payments is not responsible for any loss suffered by you as a result of incorrect Payment Method or Payout Method information provided by you.
vi. If your Contracting Entity’s location is different than the country of your Payment Method or your selected currency is different than your Payment Method’s billing currency, your payment may be processed outside your country of residence. Such payments may be subject to additional international transaction fees and foreign exchange fees on such international transactions. In addition, if you select to pay with a currency that is different than your Payment Method’s billing currency, your bank or credit card company may convert the payment amount to your billing currency associated with you Payment Method, based on an exchange rate and fee amount determined solely by your bank. As a result, the amount listed on your card statement may be a different amount than that shown on checkout. Please contact your bank or credit card company if you have any questions about these fees or the applicable exchange rate.
vii. The time it takes to receive Payouts once released by Edu Reviews Payment Services may depend upon the Payout Method you select and the Payout Method provider’s processing schedule. Edu Reviews may delay or cancel any Payout for purposes of preventing unlawful activity or fraud, risk assessment, security, or investigation.
C. Appointment of Edu Reviews as Limited Payment Collection Agent
i. Any User and Vendor collecting payment for services provided via the Edu Reviews Platform (“Providing Member”) hereby appoints Edu Reviews as the Providing Member’s payment collection agent solely for the limited purpose of accepting funds from User and Members purchasing such services (“Purchasing Members”).
ii. Each Providing Member agrees that payment made by a Purchasing Member through Edu Reviews Platform, shall be considered the same as a payment made directly to the Providing Member, and the Providing Member will provide the purchased Services to the Purchasing Member in the agreed-upon manner as if the Providing Member has received the payment directly from the Purchasing Member.
iii. Each Providing Member agrees that Edu Reviews may refund the Purchasing Member in accordance with the Edu Reviews Terms. Each Providing Member understands that Edu Reviews obligation to pay the Providing Member is subject to and conditional upon successful receipt of the associated payments from Purchasing Members. Edu Reviews guarantees payments to Providing Members only for such amounts that have been successfully received by Edu Reviews Payments Services from Purchasing Members in accordance with these Terms. In accepting appointment as the limited payment collection agent of the Providing Member, Edu Reviews assumes no liability for any acts or omissions of the Providing Member.
iv. Each Purchasing Member acknowledges and agrees that, notwithstanding the fact that Edu Reviews is not a party to the agreement between you and the Providing Member, Edu Reviews acts as the Providing Member’s payment collection agent for the limited purpose of accepting payments from you on behalf of the Providing Member. Upon your payment of the funds to Edu Reviews, your payment obligation to the Providing Member for the agreed upon amount is extinguished, and Edu Reviews is responsible for remitting the funds to the Providing Member in the manner described in these Payments Terms, which constitute Edu Reviews agreement with the Purchasing Member. In the event that Edu Reviews Payments does not remit any such amounts, the Providing Member will have recourse only against Edu Reviews and not the Purchasing Member directly.
D. Payment Processing Errors
i. We will take steps to rectify any payment processing errors that we become aware of. These steps may include crediting or debiting (as appropriate) the same Payout Method or Payment Method used for the original Payout to or payment by you, so that you end up receiving or paying the correct amount. This may be performed by Edu Reviews or a third party such as your financial institution.
E. Collections
i. If Edu Reviews Payments is unable to collect any amounts you owe under these Payments Terms, Edu Reviews may engage in collection efforts to recover such amounts from you.
ii. Edu Reviews will deem any owed amounts overdue and any User Accounts in default after thirty (30) days have elapsed from Edu Reviews first attempts to charge the User’s Payment Method or the associated Services have been provided, whichever is later.
iii. You hereby explicitly agree that all communication in relation to amounts owed will be made by electronic mail or by phone, as provided to Edu Reviews by you. Such communication may be made by Edu Reviews, or by anyone on their behalf, including but not limited to a third-party collection agent.
A. Members can cancel an Order pursuant to the Cancellation and Refund Policy set by the Vendor, and Edu Reviews will refund the amount of the Total Service Fees due to the Members in accordance with such Cancellation and Refund Policy.
B. If no Cancellation and Refund Policy has been set by the Vendor, the Order will default to the Edu Reviews Cancellation and Refund Policy which states that Members can cancel an Order at any time within 7 days of the Order Transaction Date or a minimum of three days before the Order Fulfilment Date mutually agreed between the Member and Vendor, whichever date is earliest. Failing which, no refund is due to the Member except for when the Vendor cancels the order for any reason.
C. If a Vendor cancels an Order before the Order Fulfilment Date, the Member will be notified as soon as possible and will receive a full refund of the Order’s Total Service Fees.
D. In cases of Member or Vendor cancellation of an Order before the Order Fulfilment Date and after the Vendor has already been paid, Edu Reviews will be entitled to recover the amount of any such refund from the Vendor within 7 working days from Vendor notification, including by subtracting such refund amount out from any future Payouts due to the Vendor.
A. Payouts to the Vendor are made on the subsequent month after the Order Transaction Date on the 10th of every subsequent month paid to the Vendor’s bank account, subject to Cancellation and Refund Policy.
B. When creating a Listing, Event, Product or any other Service through the Edu Reviews Platform you must (i) provide complete and accurate information about your Vendor Service (such as listing description, location, calendar availability, fees and prices), (ii) disclose any deficiencies, restrictions and requirements that apply (such as any minimum age, proficiency or fitness requirements for an Event) and (iii) provide any other pertinent information requested by Edu Reviews. You are responsible for keeping your Vendor Service information up to date at all times.
C. You are solely responsible for setting a price (including any Taxes if applicable, or charges) for your Vendor Services (“Service Fee”). Once a Member confirms, book, purchase, or contract any Vendor Services, you may not request that the Member pays a higher price than Service Fee.
D. Any terms and conditions included in your Vendor Services, in particular in relation to cancellations, must not conflict with these Terms.
E. The placement and ranking of Vendor Services in search results on the Edu Reviews Platform are at the sole discretion of Edu Reviews and may vary and depend on a variety of factors, such as User search parameters and preferences, Vendor requirements, price and calendar availability, number and quality of Images, customer service and cancellation history, Reviews and Ratings, type and category of Vendor Service, and/or ease of booking.
F. By using the Edu Reviews Platform to provide Vendor Services, you are entering into a legally binding agreement with the User and are required to provide your Vendor Services to the User as described in your Vendor Services when the confirmation is made. You also agree to pay the applicable Service Fees and any applicable Taxes.
G. The access to or use of certain areas and features of the Edu Reviews Platform in part or in full may be terminated if we believe that you have provided similar User Content to any other website, service, or application (other than Vendor owned ones) that we believe is a direct or indirect competitor of Edu Reviews.
A. Vendors need to provide Edu Reviews two prices for each Product on E-commerce Listing, the original selling price that is listed on the Vendor’s own website or sales and marketing materials (“Original Selling Price”) and the proposed selling price for the Vendor Services (“Proposed Selling Price”) which may be the same or lower than the Original Selling Price.
B. Edu Reviews is entitled to charge a Service Fee, calculated as a percentage commission amount on the Proposed Selling Price. The Payout to Vendors on successful Orders by members will be the Proposed Selling Price less the Service Fee.
C. For Products on E-commerce Listing, Vendors agree to allow Edu Reviews the sole discretion to decide the actual selling price of the Products (“Actual Selling Price”).
D. In the event the Actual Selling Price is more than the Proposed Selling Price, Edu Reviews shall be entitled to the price difference.
E. In the event the Actual Selling Price is less than the Proposed Selling Price, Edu Reviews shall still Payout to the Vendor the Proposed Selling Price less the Service Fee.
F. The Proposed Selling Price set by the Vendor cannot be higher than the listed price on the Vendor’s own website or sales and marketing materials. If there are any changes to the listed prices, the Vendor is responsible to inform Edu Reviews to change the price on the Edu Reviews Platform.
G. It is the Vendors sole responsibility to secure for any Services sold by the Vendor, an adequate proof of redemption / claim / attendance by the Customers. If a Customer claims that Services paid for were not delivered by the Vendor, to challenge such a claim, the Vendor will need to provide this proof to Edu Reviews to mediate the dispute, failing which, Edu Reviews will refund the payment to the Customer. In such circumstances, Edu Reviews is entitled to recover the amount of any such refund from the Vendor. (Examples are attendance record signed by the Customer, digital record of tickets redeemed at Vendor premises by the Customer etc)
A. Tutor agrees to allow Edu Reviews to share Tutor contact details with Users, and understands that all Content provided by the Tutor to Edu Reviews may be publicly visible and may appear in search engine results.
B. Edu Reviews does not guarantee the quantity or quality of tuition leads that the Tutor will receive.
C. Tutor can cancel the Private Tutor listing at any time by notifying Edu Reviews in writing, after which the Tutor public profile will be deactivated.
D. Refunds of the Service Fee will not be provided for any EduReviews Private Tutor Listing subscriptions under any circumstances. Edu Reviews does not provide credit, refunds, or prorated billing for subscriptions that are cancelled before the end of the subscription term.
E. Tutor will not show or write any personal contact details in the Tutor Profile.
F. Tutor shall accept full responsibility for the prices quoted for Tutor’s services on the Edu Reviews Platform and for collection of all fees due to the Tutor from any User.
G. Tutor is not an employee of Edu Reviews and the Tutor is solely responsibility for all income tax, statutory contributions, and other liabilities payable in relation to any fees Tutor receives from providing a private tuition service as a self-employed person.
H. Tutor is solely responsible for obtaining all necessary approvals as legally required from the government or other authorised bodies to provide private tuition services as a self-employed person.
A. EduReviews professionally written CVs are limited to a maximum of three pages. For most professions, a CV should never exceed three pages regardless of the amount of work experience, and it is our professional advice to keep the document to this as an absolute maximum.
B. The delivery format of EduReviews professionally written CVs will be in Microsoft Word and PDF format. We cannot be held liable for incompatibility issues with your individual computer set-up as IT support is out of our field of expertise, and the User would need to seek appropriate professional IT support at the User’s expense. Please note that we do not create editable documents in Apple Pages, Google Docs, or any other format other than Microsoft Word.
C. User agrees to allow EduReviews to upload Content to your CV profile account such as but not limited to CV documents and certificates.
D. User acknowledges that CV writing is a creative and personalized service, hence there will be different subjective views on what a “good” CV is. Therefore, EduReviews allow unlimited revisions for up to 10 working days. In this period, you can email your professional editor as many times as you deem necessary. The unlimited resume revisions period starts on the day you receive your first CV draft from EduReviews.
E. Due to the digital nature of our product, refunds of the Service Fee will not be provided for any EduReviews CV Service subscriptions under any circumstances. Edu Reviews does not provide credit, refunds, or prorated billing for subscriptions that are cancelled before the end of the subscription term.
F. User takes full liability for the information provided in your CV profile account and if you choose to enable the setting allowing your CV profile URL to be shared publicly, you acknowledge that you have provided EduReviews consent to share your Personal Data in compliance with COPPA, GDPR-K, and any other national privacy laws and regulations in our jurisdiction.
G. Any downloaded content such as CV documents and templates from the EduReviews Platform are for a personal and non-commercial use only. You are not allowed to sub-license, transfer, resell, modify and redistribute or republish any of our downloaded content even for free. You should never change or remove the copyrights, trademarks or relevant proprietary rights notice from the downloaded content.
A. In connection with your use of the Edu Reviews Platform and Service, you are not and will not assist or enable others to:
i. Use data mining, robots, screen scraping, or similar data gathering and extraction tools on the Edu Reviews Platform for any reason whatsoever without Edu Reviews prior written approval;
ii. Insert on Edu Reviews Platform any links to an external website or an externally hosted application form without Edu Reviews express written approval which may be granted withheld or withdrawn at our sole discretion.
iii. Advertise or promote yourself on the Edu Reviews Platform or refer to brands or sponsors for any reason without Edu Reviews express written approval which may be granted withheld or withdrawn at our sole discretion.
iv. Upload to the Edu Reviews Platform any User Content that has any malware, infection, viruses, worms, Trojan horses or other code that manifest contaminating or destructive properties, or any other similar material in nature.
v. Not use any Services provided by Edu Reviews to send any unsolicited commercial electronic messages to parents or applicants or any other persons, whether individually, or as a group unless expressively approved in writing by Edu Reviews.
vi. Not release to the public (including all or any part of your parent group) any news release, advertising material, promotional material or any other form of publicity, documents, information, data, and intellectual property belonging to Edu Reviews without our prior written approval.
B. You are solely responsible for compliance with any and all laws, rules, regulations, and Tax obligations that may apply to your use of the Edu Reviews Platform. You will not and will not assist or enable others to:
i. breach or circumvent any applicable laws or regulations, agreements with third-parties, third-party rights, or our Terms, Policies or Standards;
ii. use the Edu Reviews Platform and Service Content for any commercial or other purposes that are not expressly permitted by these Terms or in a manner that falsely implies Edu Reviews endorsement, partnership or otherwise misleads others as to your affiliation with Edu Reviews;
iii. copy, store or otherwise access or use any information, including personally identifiable information about any other User, contained on the Edu Reviews Platform in any way that is inconsistent with Edu Reviews Privacy Policy or these Terms or that otherwise violates the privacy rights of Users or third parties;
iv. use the Edu Reviews Platform in connection with the distribution of unsolicited commercial messages (“spam”);
v. use the Edu Reviews Platform to request, make or confirm a transaction independent of the Edu Reviews Platform, to circumvent any Service Fees or for any other reason;
vi. request, accept or make any payment for Service Fees outside of the Edu Reviews Platform or Edu Reviews Payment Services. If you do so, you acknowledge and agree that you: (i) would be in breach of these Terms; (ii) accept all risks and responsibility for such payment, and (iii) hold Edu Reviews harmless from any liability for such payment;
vii. discriminate against or harass anyone on the basis of race, national origin, religion, gender, gender identity, physical or mental disability, medical condition, marital status, age or sexual orientation, or otherwise engage in any violent, harmful, abusive or disruptive behavior;
viii. use, display, mirror or frame the Edu Reviews Platform or Service Content, or any individual element within the Edu Reviews Platform, Edu Reviews name, any Edu Reviews trademark, logo or other proprietary information, or the layout and design of any page or form contained on a page in the Edu Reviews Platform, without Edu Reviews express written consent;
ix. dilute, tarnish or otherwise harm the Edu Reviews brand in any way, including through unauthorized use of Service Content, registering and/or using Edu Reviews or derivative terms in domain names, trade names, trademarks or other source identifiers, or registering and/or using domains names, trade names, trademarks or other source identifiers that closely imitate or are confusingly similar to Edu Reviews domains, trademarks, taglines, promotional campaigns or Service Content;
x. use any robots, spider, crawler, scraper or other automated means or processes to access, collect data or other content from or otherwise interact with the Edu Reviews Platform for any purpose;
xi. avoid, bypass, remove, deactivate, impair, descramble, or otherwise attempt to circumvent any technological measure implemented by Edu Reviews or any of Edu Reviews providers or any other third party to protect the Edu Reviews Platform;
xii. attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Edu Reviews Platform;
xiii. take any action that damages or adversely affects, or could damage or adversely affect the performance or proper functioning of the Edu Reviews Platform;
xiv. export, re-export, import, or transfer the Application except as authorized by United States law, the export control laws of your jurisdiction, and any other applicable laws; or
xv. violate or infringe anyone else’s rights or otherwise cause harm to anyone.
C. You acknowledge that Edu Reviews has no obligation to monitor the access to or use of the Edu Reviews Platform by any User or to review, disable access to, or edit any User Content, but has the right to do so to (i) operate, secure and improve the Edu Reviews Platform (including without limitation for fraud prevention, risk assessment, investigation and customer support purposes); (ii) ensure User compliance with these Terms; (iii) comply with applicable law or the order or requirement of a court, law enforcement or other administrative agency or governmental body; (iv) respond to User Content that it determines is harmful or objectionable; or (v) as otherwise set forth in these Terms. Users agree to cooperate with and assist Edu Reviews in good faith, and to provide Edu Reviews with such information and take such actions as may be reasonably requested by Edu Reviews with respect to any investigation undertaken by Edu Reviews or a representative of Edu Reviews regarding the use or abuse of the Edu Reviews Platform.
A. This Agreement shall be effective for a 30-day term, at the end of which it will automatically and continuously renew for subsequent 30-day terms until such time when you or Edu Reviews terminate the Agreement in accordance with this provision.
B. Members may terminate this Agreement at any time by notifying us in writing via email to support@edureviews.com. Vendors may terminate this Agreement by providing a minimum of thirty (30) days’ notice in writing via email to partners@edureviews.com
C. If you cancel your Edu Reviews Account as a Vendor, any Member confirmed Orders before the Order Fulfilment Date will be automatically cancelled, and the respective Members will receive a full refund.
D. If you cancel your Edu Reviews Account as a Member, any confirmed Orders before the Order Fulfilment Date will be automatically cancelled and any refund will depend upon the terms of the Vendor Services cancellation and refund policy.
E. Without limiting our rights specified below, Edu Reviews may terminate this Agreement for convenience at any time by giving you thirty (30) days’ notice via email to your registered email address.
F. Edu Reviews may immediately, without notice, terminate this Agreement and/or stop providing access to the Edu Reviews Platform if (i) you have materially breached your obligations under these Terms, the Payments Terms, our Policies or Standards, (ii) you have violated applicable laws, regulations or third party rights, or (iii) Edu Reviews believes in good faith that such action is reasonably necessary to protect the personal safety or property of Edu Reviews, its Users, or third parties (for example in the case of fraudulent behaviour of a User).
G. In addition, Edu Reviews may take any of the following measures (i) to comply with applicable law, or the order or request of a court, law enforcement or other administrative agency or governmental body, or if (ii) you have breached these Terms, the Payments Terms, our Policies or Standards, applicable laws, regulations, or third party rights, (iii) you have provided inaccurate, fraudulent, outdated or incomplete information during the Edu Reviews Account registration, Vendor Services information or thereafter, (iv) you and/or your Vendor Services at any time fail to meet any applicable quality or eligibility criteria, (v) you have repeatedly received poor Ratings or Reviews or Edu Reviews otherwise becomes aware of or has received complaints about your performance or conduct, (vi) you have repeatedly cancelled confirmed Orders or failed to respond to Orders without a valid reason.
H. In case of non-material breaches and where appropriate, you will be given notice of any intended measure by Edu Reviews and an opportunity to resolve the issue to Edu Reviews reasonable satisfaction.
I. For Vendors, if we take any of the measures described above (i) we may refund your Members in full for any and all confirmed Orders that have been cancelled, irrespective of pre-existing cancellation and refund policies, and (ii) you will not be entitled to any compensation for pending or confirmed Orders that were cancelled.
J. When this Agreement has been terminated, you are not entitled to a restoration of your Edu Reviews Account or any of your Service Content. If your access to or use of the Edu Reviews Platform has been limited or your Edu Reviews Account has been suspended or this Agreement has been terminated by us, you may not register a new Edu Reviews Account or access and use the Edu Reviews Platform through an Edu Reviews Account of another User.
K. When this Agreement has been terminated, it is in the sole discretion of Edu Reviews on whether or not to keep or remove any Service Content provided by the Vendor on the Edu Reviews Platform.
A. To the maximum extent permitted by applicable law, you agree to release, defend (at Edu Reviews option), indemnify, and hold Edu Reviews and its affiliates and subsidiaries, including but not limited to their officers, directors, employees and agents, harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (i) your access to or use of the Service, including Your Content, (ii) your violation of the Terms, (iii) your breach of your representations and warranties provided under these Terms, (iv) any Products or Services purchased or obtained by you in connection with the Service, (v) your Vendor Services, or the marketing or provision thereof to Users and Members, or (vi) your interaction with any User, participation in any Event, purchase of Vendor Services, participation in Payment Services, including without limitation any injuries, losses or damages (whether compensatory, direct, incidental, consequential or otherwise) of any kind arising in connection with or as a result of such interaction, participation or use, or (vii) the infringement by you, or any third party using your Account, of any intellectual property or other right of any person or entity.
B. Edu Reviews reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us and you agree to cooperate with our defense of these claims. You agree not to settle any such matter without the prior written consent of Edu Reviews. Edu Reviews will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of it.
Please read this section carefully since it limits the liability of the edu reviews to you. Each of the subsections below only applies up to the maximum extent permitted under applicable law. Nothing herein is intended to limit any rights you may have which may not be lawfully limited. By accessing or using the service, you represent that you have read, understood, and agree to these terms, including this section. You are giving up substantial legal rights by agreeing to these terms.
A. The Service and Service Content on the Edu Reviews Platform are made available to you on an “as is”, “with all faults” and “as available” basis, with the express understanding that Edu Reviews may not monitor, control, or vet user content or third party content. As such, your use of the service is at your own discretion and risk. Edu Reviews make no claims or promises about the quality, completeness, accuracy, or reliability of the service, its safety or security, or the service content. Accordingly, Edu Reviews are not liable to you for any personal injury, loss or damage that might arise, for example, from the service’s inoperability, depletion of battery power or other impairment of devices used to access the service, service unavailability, security vulnerabilities or from your reliance on the quality, accuracy, or reliability of the business listings, ratings, reviews (including their content or omission of content, order, and display), metrics or other content found on, used on, or made available through the service.
B. Edu Reviews make no claims or promises with respect to any third party, such as the Vendors listed on the Service or that offer products or services through the Service, or the Service Users. Accordingly, Edu Reviews are not liable to you for any personal injury, loss or damage that might arise from any such third party’s actions or omissions, including, for example, if another User misuses your content, identity or personal information, or if you have a negative experience with one of the Vendors listed or featured on the Service. Your purchase and use of Vendor Services offered by third parties through the Service is at your own discretion and risk.
C. Edu Reviews does not guarantee or warrant to you that files available for downloading through the Edu Reviews Platform or delivered via electronic mail will be free of infection or viruses, worms, Trojan horses or other code that manifest contaminating or destructive properties.
D. Edu Reviews does not accept responsibility for the loss of any data you or anyone else places on the Edu Reviews Platform nor does Edu Reviews warrant that it will maintain systems to reconstruct lost data.
E. Edu Reviews will not be liable for any (i) indirect, special, incidental, punitive, exemplary, reliance, or consequential damages, (ii) loss of profits or revenue, (iii) business interruption, (iv) reputational harm, (v) loss of information or data; or (vi) liability with respect to a consumer alert posted on any Edu Reviews Platform.
F. Your sole and exclusive right and remedy in case of dissatisfaction with the Service or any other grievance shall be your termination and discontinuation of access to or use of the Service.
A. Any dispute, controversy or claim arising out of or relating to this Agreement, or the breach thereof (“Dispute”), shall be settled exclusively by arbitration, conducted on a confidential basis, under the arbitration rules of the country of residence or establishment of the contracting entity. The costs of the arbitration, including fees to be paid to the arbitrator, shall be shared equally by both parties to the Dispute. Each party shall bear the cost of preparing and presenting its case to the arbitrator.
B. No Class Actions or Representative Proceedings in Any Jurisdiction Are Allowed. Each party acknowledges and agrees that, to the fullest extent permitted by law, both parties are each waiving the right to participate as a plaintiff or class member in any purported class action lawsuit, class-wide arbitration, private attorney general action, or any other representative proceeding as to all Disputes. Further, unless each party both otherwise agree in writing, the arbitrator may not consolidate more than one party’s claims and may not otherwise preside over any form of any class or representative proceeding. Each party also acknowledges and agree to each waive the right to a trial by jury as to all arbitrable Disputes.
Our Legal Terms shall be treated as though it were execute and performed in Malaysia and shall be governed by and construed in accordance with the laws of Malaysia without regards to conflict of law principles. In addition, you agree to submit to the personal jurisdiction and venue of such courts. Any cause of action by you with respect to the Edu Reviews Platform, must be instituted within ONE (1) year after the cause of action arose or be forever waived and barred. Should any part of our Legal Terms be held invalid or unenforceable, that portion shall be construed consistent with applicable law and the remaining portions shall remain in full force and effect. To the extent that any Service Content on the Edu Reviews Platform conflicts or is inconsistent with our Terms, our Terms shall take precedence. Our failure to enforce any provision of our Terms shall not be deemed a waiver of such provision nor of the right to enforce such provision. The rights of Edu Reviews under our Terms shall survive the termination of our Terms.
A. Except as they may be supplemented by additional terms and conditions, policies, guidelines or standards, these Terms constitute the entire Agreement between Edu Reviews and you pertaining to the subject matter hereof, and supersede any and all prior oral or written understandings or agreements between Edu Reviews and you in relation to the access to and use of the Edu Reviews Platform.
B. No joint venture, partnership, employment, or agency relationship exists between you and Edu Reviews as a result of this Agreement or your use of the Edu Reviews Platform.
C. These Terms do not and are not intended to confer any rights or remedies upon any person other than the parties.
D. If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck and will not affect the validity and enforceability of the remaining provisions.
E. Edu Reviews failure to enforce any right or provision in these Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise permitted under law.
F. You may not assign, transfer or delegate this Agreement and your rights and obligations hereunder without Edu Reviews prior written consent. Edu Reviews may without restriction assign, transfer or delegate this Agreement and any rights and obligations hereunder, at its sole discretion, with 30 days prior notice. Your right to terminate this Agreement remains unaffected.
G. Unless specified otherwise, any notices or other communications to Users permitted or required under this Agreement, will be provided electronically and given by Edu Reviews via email, Edu Reviews Platform notification, or messaging service such as but not limited to including SMS, Whatsapp and WeChat.
